Since 2015, I have been a professional attorney-in-fact. I practice as an advocate. Initially, I was registered on the list of legal counsels. I handle civil cases (in particular debt collection, family law matters, and real estate law), commercial law (broadly understood business legal services), criminal cases (including white-collar crime), and labor law. I act as an attorney-in-fact and defense counsel before common courts, arbitration courts, administrative courts, as well as before administrative authorities. I represent parties in negotiations, at shareholders’ meetings, at general meetings, and at supervisory board meetings. I work in Polish, English, and Russian.
Sp. z o.o. Registration in Poland — How a Ukrainian Entrepreneur Entered the EU Market in 3 Weeks
In early 2024, a Ukrainian entrepreneur approached me with the goal of registering a limited liability company (Sp. z o.o.) in Poland. The aim was to launch a logistics business and subsequently apply for a residence permit. The client had no previous experience in running a business in the EU and required comprehensive legal support at all stages.
At the time of the request, the client did not have a legal address, founding documents, understanding of the Polish tax system, or knowledge of immigration procedures. Additionally, he planned to manage everything remotely and wanted to avoid traveling until the registration was completed.
What Steps Were Taken?
- Legal Diagnosis and Strategic Planning. A thorough analysis of the client's goals was conducted, the optimal legal structure (Sp. z o.o.) was selected, and an action plan was developed considering immigration requirements and tax implications.
- Preparation of Founding Documents. I developed the articles of association, the protocol of the founding meeting, declarations, and statements, adapted for remote submission. All documents were translated and notarized according to Polish standards.
- Organization of a Legal Address and Registration Support. A registration address was provided to the client. The submission to the National Court Register (KRS) was made online by me on behalf of the authorized representative.
- Obtaining NIP, REGON, and Opening a Bank Account. After registration, the tax and statistical numbers were obtained. A corporate bank account was opened in a Polish bank without the client’s personal visit.
