Changing ownership in a company is a serious legal procedure that can take anywhere from a few weeks to several months, depending on the complexity and proper document preparation. However, with the right organization and preparation, we were able to complete this process in just 15 days. Here’s how we handled this case, ensuring a quick and efficient execution of all necessary changes.
Task: Changing the Company’s Members
The company owners approached me with a request to change the composition of the members. One of the co-founders decided to sell his share, and a new partner was to buy it and officially join the company. The task was to carry out this transformation as quickly as possible and without unnecessary delays, while adhering to Polish legislation.
Document Preparation
To speed up the process of changing owners, I prepared all the necessary documents:
- Agreement on the Sale of the Share in the Company: a document that outlines the conditions for transferring the share from one participant to another.
- Official Consent to Transfer the Share to the New Owner: confirmation that the current members of the company agree to the change of ownership.
- Updated List of Company Members: a document containing information about the new composition of the members.
- Statement of the New Owner on Joining the Company: a signed document confirming the new participant’s willingness to take the share and become part of the company.
- Resolution on Amendments to the Company’s Founding Documents: an official decision that defines the change in the membership in the company’s articles of association.
- Resolution on Changing the Company’s Management Structure: the change in the members of the governing bodies of the company.
- Resolution on Changing the Company’s Legal Address: if the change in ownership also required changing the company’s location.
- Confirmation of Agreement from the Person Authorized to Represent the Company: a document confirming that the person representing the company agrees with the new changes.
Submitting the Application through the eKRS System
After preparing all the necessary documents, on 29.11.2024 at 17:25, we successfully submitted the application through the eKRS system. This allowed for the rapid processing of the submission and avoided unnecessary delays.
Waiting for the Court’s Decision
Although the process of reviewing such cases can take several days, in our case, the court made a quick decision. On 13.12.2024 at 14:24, we received official confirmation of the changes being made. Since all the documents were correctly prepared, the court did not request any additional documents, and the process went smoothly.
Result
As a result:
- The member who sold their share officially left the company.
- The new owner received the share and was entered into the KRS as a member of the company.
- The company’s details were updated in all official registers.
How Long Did the Entire Process Take?
- 28.11.2024: Consultation and document preparation.
- 29.11.2024: Submission of the application through the eKRS system.
- 13.12.2024: Receipt of the official court decision.
Total time from the initial request to the completion of the procedure: 15 days, but in reality, the new owner obtained rights to the company on 29.11.2024, immediately after the documents were finalized.
